    Comment: SEC Actual Record And Real Focus

    The actual EB5 record of enforcement actions by the SEC shows a clear focus against contingent payments to unlicensed persons. Subterfuges, such as using foreign entities owned by family members of US persons, do not work, as witness the recent Hui Feng case in the Central District of California. LINK LINK. Unlike popular belief, it is quite easy for SEC to see through elaborate subterfuges, so setting up convoluted structures will not deter SEC enforcement in the slightest. Unfortunately, Immigration Daily has learned that a substantial number of EB5 Issuers, including many large & long-established ones, are making contingent payments to unlicensed persons using subterfuges which are sure to be eventually discovered by SEC and subject to enforcement. This may jeopardize not just the eventual return of funds, but may also jeopardize the green card itself (including revocation after I-829 approval), since USCIS takes the position that a securities violation could be, prima facie, an immigration violation. SEC's actions speak louder than any words could, the clear central theme in SEC enforcement is against contingent payments to unlicensed persons, those with an interest in immigration benefits should ignore this theme at their own peril. One thought is for prospective investors and their counsel to ask this question to EB5 issuers in writing: Does the issuer pay any commissions to any foreign entity substantially controlled by an unlicensed US entity? This may be not only the prudent thing to do, but may also be a good way to zealously represent an I-526 applicant.

    Focus: International Students Expos in USA
    International students are coming to the US in dramatically increased numbers. The explosion in Chinese, Indian and Korean students started less than a decade ago and continues. For EB-5 purposes students offer good prospects. We have been conducting events since 2014 educating students on EB-5 in New York, Washington DC, Massachusetts, Michigan and California. We are expanding these events to other locations in 2017 to cover the entire USA. For each city we promote the event to multiple campuses across the metropolitan region; this can vary from ten to twenty campuses per city. These are 1 day events that require a short single night stay trip from the sponsoring Regional Center or law firm. During the educational event covering the students' immigration options the sponsor makes a short presentation about their Regional Center or law firm. The event structure allows for plenty of networking opportunities with students. These events are available only to Regional Centers that use Regulation-D or to law firms, and we require clients to consult a securities attorney before signing up for these events.
